Authorized Project Pause Terms

Request Requirements

To qualify for an Authorized Project Pause, the Client must submit this request before the project becomes classified as abandoned under the Service Agreement.

The request must confirm:

  • the Client’s intention to resume the project
    • the reason for the requested pause
    • an estimated date when the Client expects the project to resume

Submission of this request does not automatically grant a pause. The project will remain active and subject to the abandonment provisions of the Service Agreement until the Stratigem project manager signs and approves the request.

Stratigem reserves the right to approve or deny any pause request at its sole discretion. Approval may be denied based on project circumstances, operational capacity, or the Client’s prior project history, including patterns of inactivity, delays, cancellations, or other conduct that may materially affect project management.

Approved Pause Duration

If Stratigem approves the Authorized Project Pause Request, the pause may remain in effect for a maximum period of three (3) months from the approved pause effective date.

During this period:

  • the project will be removed from Stratigem’s active production schedule
    • no development or project work will continue until the project resumes

Extension Request

The Client may request one (1) extension of the Authorized Project Pause for an additional period of forty-five (45) days.

The extension request must be submitted before the original pause period expires.

Failure to request an extension before the pause expiration may result in the project becoming subject to the abandonment provisions outlined in the Service Agreement.

Client Acknowledgements During Pause

By submitting this Authorized Project Pause Request and receiving Stratigem’s approval, the Client acknowledges and agrees that during the approved pause period:

  • no refunds will be issued for any payments already made
    • project materials, deliverables, files, designs, and work product will not be transferred to the Client
    • the project will remain inactive and removed from Stratigem’s scheduling queue

The Client further acknowledges that all work product, designs, files, and materials created by Stratigem during the project remain the intellectual property of Stratigem unless and until ownership is transferred in accordance with the Service Agreement and the applicable Statement of Work.

Expiration of Pause

If the Client does not resume the project within the approved pause period (including any permitted extension), the project may be classified as abandoned under the Service Agreement.

Once classified as abandoned:

  • the project may be formally closed
    • Stratigem may release any reserved scheduling capacity
    • any restart of the same or substantially similar project may be subject to the project restart fee and other conditions outlined in the Service Agreement

Resumption of Work

If the Client resumes the project within the authorized pause period, the project may continue under the existing Statement of Work, subject to Stratigem’s availability at that time.

Stratigem reserves the right to adjust the project timeline to accommodate current scheduling.

Relationship to the Service Agreement

This Authorized Project Pause Request and its terms operate in conjunction with the Service Agreement (SCG-SA-2026-01). In the event of a conflict between this document and the Service Agreement, the terms of the Service Agreement shall govern.
